Welcome to Lilagrey. These Terms of Service ("Terms") govern your access to and use of the website lilagrey.com (the "Site") and any purchases you make through it. Lilagrey is a brand operated by Sadevi LLC, a limited liability company organized under the laws of the State of New Mexico ("we," "us," or "our").

By accessing the Site, browsing our products, creating an account, or placing an order, you agree to be bound by these Terms and by our Privacy Policy, Refund Policy, and Shipping Policy, each of which is incorporated by reference. If you do not agree to these Terms, please do not use the Site.

2. Eligibility

To place an order or create an account on the Site, you must:

Be at least 18 years of age, or the age of legal majority in your state of residence, whichever is greater;
Be a resident of the United States, with a valid U.S. shipping address; and
Provide accurate, current, and complete information during checkout or account creation.

We currently sell and ship only within the United States. Orders with non-U.S. billing or shipping addresses may be canceled at our discretion.

3. Account Registration

You may browse and purchase from the Site as a guest. If you choose to create an account, you are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Please notify us promptly at info@lilagrey.com if you suspect unauthorized access to your account.

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used for fraudulent or abusive purposes.

4. Products and Descriptions

We make reasonable efforts to display our products accurately, including colors, fabrics, and styling details. However, please keep the following in mind:

Color and image accuracy. The actual color and texture of an item may vary slightly from what appears on your screen due to differences in monitors, lighting, and photography.
Sizing. Fit varies by style. Please consult the size guide on each product page before ordering. Measurements are provided as a reference and may vary slightly between units.
Availability. All products are offered subject to availability. We reserve the right to modify, discontinue, or limit the quantity of any product at any time without prior notice.
Errors. We make reasonable efforts to ensure that product descriptions, images, and prices are accurate, but we do not warrant that this content is error-free. If we discover an error in a product listing, we may correct it and, where applicable, cancel or modify affected orders.

5. Pricing and Payment

All prices are listed in U.S. dollars (USD) and exclude any applicable sales tax, which will be calculated at checkout based on your shipping address.

We reserve the right to change prices, promotions, and discount codes at any time without prior notice. Price changes will not apply retroactively to orders that have already been placed and confirmed.

We accept the payment methods displayed at checkout. By submitting payment information, you represent that you are authorized to use the payment method and that the information provided is accurate. Payment is processed at the time of purchase.

If a product is listed at an incorrect price due to a typographical, system, or pricing error, we reserve the right to cancel the order, even if it has been confirmed and your payment method has been charged. In such cases, we will issue a full refund to the original payment method.

6. Order Acceptance and Cancellation

Your receipt of an order confirmation email indicates that we have received your order. It does not constitute our acceptance of your order or a binding contract for sale. We reserve the right, at our sole discretion, to:

Refuse or cancel any order for any reason, including but not limited to suspected fraud, payment issues, pricing errors, inventory shortages, or violations of these Terms;
Limit the quantity of items purchased per person, per household, or per order; and
Cancel orders placed with billing or shipping addresses that we cannot verify.

Acceptance of your order, and the formation of a contract of sale between you and Sadevi LLC, occurs when we ship the items to you.

If you wish to cancel an order, please contact us at info@lilagrey.com as soon as possible. We will do our best to accommodate cancellation requests received before an order has been processed for shipment, but we cannot guarantee cancellation once an order has entered fulfillment.

7. Shipping and Delivery

We currently ship only within the United States. Standard processing time is 1 to 3 business days, and standard delivery is 3 to 10 business days (up to 12 during peak) after processing. Orders may ship via USPS, UPS, FedEx, DHL, UniUni, or GOFO, depending on destination and product.

For full details, please see our Shipping Policy. Risk of loss and title for items pass to you upon delivery of the items to the carrier.

8. Returns and Refunds

We accept returns within 30 days from delivery under the conditions described in our Refund Policy. Damaged or defective items must be reported within 7 days of delivery with supporting photos sent to info@lilagrey.com.

Please review our Refund Policy for full eligibility requirements, return procedures, and refund timelines. By placing an order, you agree to the terms of that policy.

9. Intellectual Property

All content on the Site — including but not limited to text, graphics, logos, product images, photographs, page layouts, design elements, and the "Lilagrey" name and brand identity — is the property of Sadevi LLC or its licensors and is protected by U.S. and international copyright, trademark, and other intellectual property laws.

You may view and use the Site for personal, non-commercial purposes only. You may not copy, reproduce, modify, distribute, publicly display, sell, or create derivative works from any content on the Site without our prior written permission.

The trademarks, service marks, and logos used on the Site, including "Lilagrey," are owned or licensed by Sadevi LLC. Nothing on the Site grants you any license or right to use any trademark without our express written permission.

10. User Submissions and Reviews

If you submit a product review, comment, photo, testimonial, or any other content to the Site or to us through email or social media tagging ("User Content"), you grant Sadevi LLC a non-exclusive, worldwide, royalty-free, transferable, and sublicensable license to use, reproduce, modify, publish, and display that User Content in connection with the operation, promotion, and marketing of Lilagrey, in any media now known or later developed.

You represent and warrant that:

You own or have the necessary rights to the User Content you submit;
The User Content does not infringe the rights of any third party; and
The User Content does not contain unlawful, defamatory, obscene, or otherwise objectionable material.

We reserve the right, but not the obligation, to remove or edit any User Content at our sole discretion.

11. Prohibited Uses

When using the Site, you agree not to:

Use the Site for any unlawful purpose or in violation of any applicable law or regulation;
Engage in fraudulent activity, including the use of stolen payment information or false identities;
Attempt to gain unauthorized access to the Site, our servers, or any related systems;
Use any automated means — including bots, scrapers, or crawlers — to access, copy, or collect data from the Site without our prior written consent;
Interfere with or disrupt the operation of the Site or the experience of other users;
Submit content that is harassing, defamatory, hateful, or otherwise objectionable; or
Use the Site in any manner that could damage, disable, overburden, or impair it.

We reserve the right to investigate and take appropriate action against any violation, including reporting suspected unlawful activity to the relevant authorities.

12. Third-Party Links and Services

The Site may contain links to third-party websites, services, or resources that are not owned or controlled by Sadevi LLC, including payment processors, shipping carriers, social media platforms, and review services. We are not responsible for the content, policies, or practices of any third-party site or service. Your use of any third-party site or service is at your own risk and subject to that party's terms and privacy practices.

13. Disclaimers

The Site and all products sold through it are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Sadevi LLC disclaims all warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Site will be uninterrupted, error-free, secure, or free of viruses or other harmful components, or that any defects will be corrected. We do not warrant that the products you purchase will meet your specific expectations regarding fit, color, or styling beyond the descriptions and images provided on the Site.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

14. Limitation of Liability

To the fullest extent permitted by law, in no event shall Sadevi LLC, its members, managers, employees, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages — including but not limited to loss of profits, loss of data, loss of goodwill, or other intangible losses — arising out of or in connection with your use of the Site or any products purchased through it, even if we have been advised of the possibility of such damages.

In no event shall our total aggregate liability to you, for any and all claims arising out of or related to these Terms, the Site, or any product purchased through the Site, exceed the amount you paid to us in the six (6) months preceding the event giving rise to the claim, or one hundred U.S. dollars ($100), whichever is greater.

Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so the above limitation may not apply to you.

15. Indemnification

You agree to indemnify, defend, and hold harmless Sadevi LLC and its members, managers, employees, suppliers, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

Your use of or access to the Site;
Your violation of these Terms;
Your violation of any third-party right, including any intellectual property or privacy right; or
Any User Content you submit.

16. Governing Law

These Terms and any dispute arising out of or related to these Terms or your use of the Site shall be governed by and construed in accordance with the laws of the State of New Mexico, without regard to its conflict of laws principles.

17. Dispute Resolution

Informal resolution first. Before filing any formal claim, you agree to first contact us at info@lilagrey.com and describe the dispute in detail. We will attempt in good faith to resolve the dispute informally within thirty (30) days of receiving your notice.

Binding arbitration. If the dispute cannot be resolved informally, you and Sadevi LLC agree that any dispute, claim, or controversy arising out of or related to these Terms or your use of the Site shall be resolved by binding individual arbitration administered in Bernalillo County, New Mexico, in accordance with the rules of a recognized arbitration provider that we mutually agree upon.

Class action waiver. You and Sadevi LLC each agree that any dispute resolution proceedings will be conducted only on an individual basis and not as a class, consolidated, or representative action. If for any reason a claim proceeds in court rather than in arbitration, you and Sadevi LLC each waive any right to a jury trial.

Exceptions. Either party may bring an individual action in small claims court for disputes within the scope of that court's jurisdiction. Either party may also seek injunctive or equitable relief in a court of competent jurisdiction to protect its intellectual property rights.

If any portion of this Section 17 is found to be unenforceable, the remaining portions shall remain in effect.

18. Changes to These Terms

We may update these Terms from time to time at our discretion. When we do, we will revise the "Last Updated" date at the top of this page. Material changes will take effect when posted to the Site. Your continued use of the Site after changes are posted constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.

19. Severability and Entire Agreement

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. These Terms, together with our Privacy Policy, Refund Policy, and Shipping Policy, constitute the entire agreement between you and Sadevi LLC regarding your use of the Site and supersede any prior agreements or understandings.

Our failure to enforce any right or provision of these Terms shall not be considered a waiver of that right or provision.
